1. Agreement & Services

These Terms of Service ("Agreement") constitute a binding contract between you ("Client") and AXORITHM ("Company"). By requesting or accepting our services, you acknowledge that you have read, understood, and agree to be bound by these terms.

AXORITHM provides web development, design, e-commerce, and digital marketing services as agreed upon in individual project proposals and contracts.

2. User Responsibilities

2.1 Client Obligations

As a client, you agree to:

  • Provide accurate and complete information for your project
  • Supply timely feedback and approvals to avoid project delays
  • Ensure you have the right to use all materials provided (images, content, trademarks)
  • Comply with all applicable laws and regulations
  • Pay invoices according to the agreed payment schedule

2.2 Prohibited Conduct

You agree not to use our services for:

  • Illegal activities or content that violates laws
  • Harassment, discrimination, or defamatory content
  • Intellectual property infringement
  • Malware, viruses, or malicious code
  • Spam, phishing, or fraudulent activities
  • Unauthorized access to systems or data

2.3 Content Responsibility

You are solely responsible for any content you provide. AXORITHM is not liable for content violations, copyright issues, or legal disputes arising from material you supply.

3. Intellectual Property

3.1 AXORITHM Intellectual Property

All materials, code, designs, and methodologies developed by AXORITHM (unless custom-created specifically for you) remain our intellectual property. This includes:

  • Pre-existing code libraries and frameworks
  • Design templates and components
  • Proprietary tools and processes
  • Documentation and guides

3.2 Client Intellectual Property

Upon final payment, you retain ownership of custom content and deliverables created specifically for your project. However:

  • AXORITHM retains rights to use general design principles and techniques
  • We may showcase your project as a portfolio example (unless confidentiality applies)
  • Custom code may incorporate third-party open-source components with respective licenses

3.3 Third-Party Content

You acknowledge that your website may include third-party fonts, libraries, icons, and services. You are responsible for complying with their respective licenses and terms.

4. Payment Terms

4.1 Pricing & Invoices

Project pricing is outlined in individual proposals. Invoices are issued according to the agreed schedule. All prices are in USD unless otherwise specified.

4.2 Payment Schedule

Typical payment terms:

  • 50% deposit: Upon project initiation
  • 50% final payment: Upon project completion and delivery

Alternative payment arrangements may be negotiated in the project agreement.

4.3 Late Payments

Payments not received within 15 days of invoice date may incur a 1.5% monthly interest charge. Continued non-payment may result in project suspension or termination.

4.4 Additional Costs

Scope changes, rush requests, or out-of-scope work requires a change order and additional payment. These will not be included in the original estimate.

5. Confidentiality

Both parties agree to maintain confidentiality of sensitive information shared during the project, including:

  • Business plans and strategies
  • Financial information
  • Technical specifications
  • Trade secrets and proprietary data

This obligation survives project completion. Exceptions include information required by law or court order.

6. Limitations & Liability

6.1 Service Limitations

AXORITHM provides services "as is." We do not guarantee:

  • Uninterrupted website uptime
  • Specific search engine rankings
  • Certain sales or conversion outcomes
  • Compatibility with all browsers or devices

6.2 Limitation of Liability

To the maximum extent permitted by law, AXORITHM's total liability shall not exceed the amount paid by the client for services. We are not liable for:

  • Indirect or consequential damages
  • Loss of profits or revenue
  • Data loss or corruption
  • Third-party claims or actions

6.3 Warranty Disclaimer

SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

7. Dispute Resolution

7.1 Informal Resolution

In case of disputes, both parties agree to attempt resolution through good-faith negotiation within 14 days.

7.2 Mediation

If negotiation fails, disputes may be submitted to mediation before arbitration or litigation.

7.3 Governing Law

These Terms are governed by the laws of your client's jurisdiction. Any legal action must be brought within one year of the dispute arising.

8. Modifications & Termination

8.1 Scope Changes

Project scope is defined in the initial proposal. Significant changes require a written change order and additional payment.

8.2 Project Cancellation

Clients may cancel a project with written notice. Cancellation fees depend on project progress:

  • Before start: Refund of initial deposit minus 10% administration fee
  • During development: Non-refundable deposit plus payment for work completed
  • After completion: Final payment due as agreed

8.3 Termination of Agreement

AXORITHM reserves the right to terminate services if:

  • Client violates these terms
  • Payment is not received within 30 days
  • Client requests work that is illegal or unethical
  • Project becomes unfeasible due to client actions

8.4 Future Modifications

AXORITHM reserves the right to modify these Terms with 30 days' notice. Continued use of our services constitutes acceptance of changes.
